THE CLIENT
Our client is a dynamic online medical service provider, offering patients convenient access to prescription medications through a digital consultation model. Users complete a medical questionnaire, which is reviewed by a licensed doctor before prescriptions are issued. In recent months, the company has seen exponential growth, driven largely by demand for medicated weight-loss treatments.
THE CHALLENGE: CARVING OUT FROM A LARGER GROUP
Previously part of a larger pharmacy group, the business faced a pivotal transition. As part of a strategic carve-out the company needed to separate all financial systems and processes, establishing itself as a standalone entity able to operate independently.
The carve-out process presented several key challenges:
- Financial and operational systems were deeply integrated with the parent group.
- The business required the same level of financial support it had previously received as part of the group.
- No dedicated finance function or financial oversight was in place.
The business aimed to become a standalone entity and engaged us to prepare it for sale. This required a complete rebuild of its finance infrastructure, with a focus on system migration, process implementation and long-term scalability.
OUR APPROACH
Isosceles was drafted in to support this transformation and we adopted a phased approach.
Phase 1: Carve-Out and System Implementation
We began with the implementation of core financial systems, including Xero and ApprovalMax, establishing structured processes for bookkeeping, payments and compliance.
We provided Fractional Finance Director services, ensuring strategic financial leadership throughout the transition. Our team managed:
- Full system migration and process setup.
- VAT returns, payment runs and management reporting.
- Clear separation of financials from the group entity.
Phase 2: Business-as-usual and Strategic growth
Once stability was achieved, we moved into a business-as-usual phase, enhancing financial reporting and empowering operational leaders with clear insights. Our embedded finance team improved reporting visibility, helping the business:
- Understand its revenue and profitability as a standalone entity.
- Increase operational accountability.
- Prepare for investor scrutiny and acquisition interest.
As the business grew, our support evolved. When the time was right for the business, we facilitated the transition to an in-house Finance Director, ensuring continuity while maintaining our close working relationship. We continued to provide our fractional finance team service to support the client’s FD.
THE RESULTS
The impact of our partnership has been significant and transformational:
- A significant increase in process efficiency through streamlined systems and structure.
- Clear, actionable management reporting that enabled the leadership team to make more informed data-driven decisions.
- Successfully supported a business sale process, giving the owners full visibility of business performance and valuation.
Most importantly, the finance function transitioned from being a back-office function to a trusted partner across departments, improving collaboration, accountability and strategic planning.
We are proud to have played a pivotal role in getting the business carve-out ready, stabilising operations and accelerating the path to a successful exit.
